These Terms of Service (“Terms”) govern the use of services and platform access provided by Target Optimiser Ltd, a company registered in England and Wales (Company No. 16491789) with its registered office at 20 Wenlock Road, London, N1 7GU, United Kingdom (“we”, “us”, “our”).

By using our website or services, you (“you” or “user”) agree to these Terms. Please read them carefully.

  • Our Services

    Target Optimiser provides a managed digital advertising platform. Users upload creative assets and define high-level campaign goals (e.g. budget, targeting parameters). We then execute advertising campaigns across selected digital environments using our own placement strategy.

    Users do not manage the channels, bidding, or platform integrations. Campaign delivery, optimisation, and reporting are handled entirely by Target Optimiser, and outcomes are shared via performance dashboards.

  • User Accounts

    1. To use our platform, you must:
      1. Be at least 18 years old
      2. Provide accurate, current, and complete registration information
      3. Maintain the confidentiality of your login credentials

    You are responsible for all activity under your account unless proven otherwise.

  • Acceptable Use

    1. You agree not to:
      1. Upload or use content that violates any law, infringes intellectual property, or is obscene, defamatory, or harmful
      2. Interfere with platform functionality, bypass access restrictions, or attempt unauthorised access
      3. Reverse-engineer, decompile, or modify our systems or services
      4. Attempt to use our platform for phishing, fraud, or spam purposes

    We reserve the right to suspend or terminate access if you violate these terms or misuse the platform.

  • Campaign Content and Responsibility

    1. Users are solely responsible for:
      1. Ensuring they have the right to use any creative content (e.g. images, videos, logos, copy) uploaded to the platform
      2. Confirming that materials comply with applicable laws, industry standards, and advertising guidelines

    Target Optimiser reserves the right to reject or modify submitted content to comply with legal, regulatory, or platform-specific requirements.

  • Prohibited Content and Industries

    1. You agree not to upload, promote, or advertise content that:
      1. Violates applicable laws or advertising standards
      2. Involves hate speech, violence, adult content, weapons, tobacco, gambling, or false medical claims
      3. Targets children under the age of 18
      4. Includes any illegal or unauthorised use of third-party intellectual property

    Target Optimiser reserves the right to reject or suspend any campaign that violates these rules or applicable ad platform policies.

  • Platform Access and License

    We grant you a limited, revocable, non-exclusive, non-transferable right to access and use our platform in accordance with these Terms.

    1. You may not:
      1. Resell, sublicense, or share access to your account
      2. Use the platform for unlawful purposes or outside the intended scope

    All intellectual property in the platform, its design, backend logic, and performance reporting remains the sole property of Target Optimiser.

  • Campaign Delivery and Results

    While we strive to achieve optimal results for each campaign, we do not guarantee specific volumes of impressions, clicks, conversions, or ROI.

    Ad placement decisions, bidding strategy, and traffic sources are selected by us based on performance insights and proprietary methods. We do not disclose individual media channels or vendors as part of campaign transparency.

  • Data Handling and Privacy

    All user data is handled in accordance with our Privacy Policy. By using our services, you consent to our data practices as described there.

    You acknowledge that campaign performance metrics (e.g. impressions, clicks, conversions) are generated via media we manage and are not sourced from third-party ad accounts owned by you.

    We do not share user data across clients or disclose personal data to external advertising platforms without lawful basis.

  • Disclaimer of Endorsement

    Target Optimiser is an independent service. We are not affiliated with, endorsed by, or sponsored by Google LLC, Microsoft, Yahoo, or any advertising network or demand-side platform (DSP) or Supply-Side Platform (SSP).
    Any references to third-party platforms are for integration or functionality purposes only, and all trademarks remain the property of their respective owners.

  • Termination

    1. We may suspend or terminate your access:
      1. If you breach these Terms
      2. If you violate platform or legal obligations
      3. If required by law or a platform policy

    You may terminate your account at any time by contacting us. On termination, access will cease and any active campaigns will be paused or completed at our discretion.

  • Limitation of Liability

    1. To the fullest extent permitted by law:
      1. We are not liable for indirect, incidental, or consequential damages, including lost revenue or campaign underperformance
      2. Our total liability under any contract or service will not exceed the amount paid by you to us in the previous 12 months

    You may terminate your account at any time by contacting us. On termination, access will cease and any active campaigns will be paused or completed at our discretion.

  • Governing Law and Jurisdiction

    These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the English courts.

  • Sanctions and Legal Compliance

    You agree not to use our services in violation of any UK, EU, or US sanctions laws, including those enforced by OFAC or the UK Office of Financial Sanctions Implementation (OFSI).

    We reserve the right to refuse service or terminate access if we determine your account is in breach of these restrictions.

  • Changes to These Terms

    We may update these Terms from time to time. When we do, we will revise the “Effective Date” and post the latest version on our website. Continued use of the platform indicates acceptance of the updated terms.

  • Data Processing Addendum

    If required by law or contract, we can provide a separate Data Processing Addendum (DPA) outlining our GDPR compliance, processor responsibilities, and data protection terms. To request a DPA, contact contact@targetoptimiser.com
